1.Acceptance of these terms

By creating an account, clicking "I agree," or using fowndr (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you don't agree, don't use the Service.

2.Who we are

fowndr is a software product operated by a California limited liability company ("fowndr," "we," "us," "our"). We provide a guided workflow to help California founders form LLCs, obtain an EIN, open business banking, set up payroll, and track compliance deadlines.

3.What fowndr IS NOT — please read carefully

fowndr is not a law firm. We do not provide legal advice. We are not your attorney. No attorney-client relationship is formed by using the Service.

fowndr is not a certified public accountant, tax advisor, or financial planner. We do not provide tax, accounting, investment, or financial advice.

fowndr is not a registered agent or filing service. We provide pre-filled information to help you understand and complete filings with government agencies (California Secretary of State, IRS, Franchise Tax Board, etc.), but you — not fowndr — are responsible for submitting, paying for, and maintaining those filings.

Information and forms provided through the Service are general educational guidance based on publicly available sources. You are solely responsible for verifying accuracy, completeness, and applicability to your specific situation. For legal or tax questions specific to your circumstances, consult a licensed attorney or CPA.

4.Your account

To use most features, you must create an account using a supported sign-in method (Google, Apple, Microsoft, or email and password). You agree to (a) provide accurate information, (b) keep your login credentials confidential, (c) not share your account, and (d) be responsible for all activity under your account. You must be at least 18 years old and legally able to form a contract in California.

5.Subscriptions, billing, and cancellation

fowndr offers paid subscriptions (currently $6.49/month or $49.99/year). Payment is processed by Stripe, Inc. We do not store your full payment card details.

Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless canceled before the renewal date.

Cancellation. You may cancel anytime from your account settings. Cancellation takes effect at the end of the current paid period; we do not offer pro-rated refunds for mid-period cancellations unless required by law.

Price changes. We may change subscription pricing. We will give you at least 30 days' notice by email before any price increase takes effect at your next renewal, and you may cancel before then.

Government fees are not included. Fees paid to the California Secretary of State, Franchise Tax Board, IRS, or any government agency are separate, paid directly by you to those agencies, and are never refundable through fowndr.

6.Third-party partners and referral fees

fowndr links to third-party services, including but not limited to Northwest Registered Agent, Mercury Bank, Relay Financial, Gusto, and the IRS. These are independent of fowndr and governed by their own terms and privacy policies.

Disclosure: fowndr may earn referral or affiliate fees when you sign up with certain partners through links on the Service. This does not change the price you pay. We only recommend partners we believe serve our users well.

We are not responsible for partner services, their availability, fees, or outcomes. Any dispute with a partner is between you and that partner.

7.Your responsibilities

You agree not to use the Service to: (a) violate any law; (b) impersonate any person or entity; (c) attempt to access another user's account; (d) reverse-engineer, scrape, or circumvent the Service; (e) upload malware or interfere with the Service; (f) resell or commercially redistribute fowndr content.

You are responsible for all content and information you submit, and you represent you have the right to submit it.

8.Intellectual property

fowndr and all content on the Service (other than user-submitted content) are owned by fowndr or its licensors and protected by copyright, trademark, and other laws. We grant you a limited, personal, non-transferable license to use the Service while your account is in good standing.

9.Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

We do not warrant that any filing, form, or guidance provided through the Service will result in a successful filing, approval, or specific legal or tax outcome. Laws and agency requirements change. You are responsible for confirming current requirements with the relevant authority.

10.Limitation of liability

To the maximum extent permitted by law, fowndr's total liability to you for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.

In no event will fowndr be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities, even if advised of the possibility.

Some jurisdictions don't allow certain limitations. In those jurisdictions, our liability is limited to the minimum extent permitted.

11.Indemnification

You agree to indemnify and hold harmless fowndr, its owners, employees, and agents from any claim or demand (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12.Termination

We may suspend or terminate your account at any time if you violate these Terms, if required by law, or for any material operational reason. You may terminate your account at any time by canceling and deleting it from your account settings. Sections 5 (unpaid fees), 8, 9, 10, 11, 13, and 14 survive termination.

13.Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Informal resolution first. Before filing any formal claim, you agree to contact us at hello@fowndr.ai and attempt to resolve the dispute in good faith for at least 30 days.

Arbitration. Any unresolved dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in the County of your residence in California, and not by class action. Either party may bring qualifying claims in small-claims court.

14.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email and/or in-app notice, and update the version number above. Your continued use after the effective date of updated Terms constitutes acceptance. If you don't agree to the updated Terms, stop using the Service and cancel your subscription.
